Content (Syllabus outline)
1. INTRODUCTION TO CORPORATE LAW:
– Classification of business companies.
– Private companies.
– Management and control bodies.
– Entrepreneur.
– Transnational forms: SE and the EGIZ
– Affiliates.
– Status restructuring of business companies.
2. INTRODUCTION TO INTELLECTUAL PROPERTY LAW:
– Classification of industrial property rights and copyrights.
– Legal protection of integrated circuits.
– Domain names.
3. COMMERCIAL DISPUTES SETTLEMENT:
– Forms of alternative dispute resolution: mediation, arbitration, combined procedure.
4. BASICS OF ELECTRONIC COMMERCE IN BUSINESS.
Study Literature
The study literature will be published online before the lecture start.
Objectives and competences
General competencies:
– Ability of practical application of this knowledge in practice;
– Ability to create fundamental basis for decision making about the choice of legal form and the protection of its rights
Subject-specific competencies:
– Ability of practical application of knowledge about the basic problem issues of commercial law;
– Knowledge of resolving any disputes from the contract with the selected version of the ADR.
Intended learning outcomes
Student:
– Learns the fundamental sources of law regulating legal business relations and the settlement of disputes arising from concluded legal relationships
– Is able to identify the strengths of different companies within its business environment,
– Shows an appropriate response when searching for a solution using relevant sources of commercial law.
Learning and teaching methods
Lectures, case discussions and group work.
Assessment
Written examination, term paper with defense.
